Limited Warranty

Icon Technologies Limited warrants all products manufactured by Icon, to be free from defects in material and workmanship under normal usage and service. Icon’s obligation under this warranty shall be limited to the replacement of any product which may prove defective under normal usage and service within one year of the invoice date. This warranty shall not apply to products, which have been subject to accident, alteration, misuse, negligence or faulty installation.

All shipping of replacement parts will be to the original destination of purchase from Icon Technologies Limited, and not the end user. Icon Technologies Limited shall pay shipping charges for any such replacement within Canada, but Icon Technologies Limited will not pay for labor costs or other expenses required to replace such defective goods.

Any and all shipping damages must be noted and dealt with the carrier, within 14 days of the invoice date. Icon cannot be held responsible for any damages caused during shipping.

To the extent permitted by law, Icon Technologies Limited does not assume responsibility for loss of use of the product, loss of time, inconvenience, expense for telephone or any other forms of communication, travel, loss or damage to personal property or loss of income. The liability of Icon is expressly limited to the price paid for the defective goods. This warranty is expressly in lieu of all other express warranties.

Icon Technologies Limited neither assumes nor authorizes any person to assume for it, any other liability in connection with the sales of products manufactured by Icon Technologies Limited.

Terms and Conditions of Sale

PLEASE READ THIS DOCUMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.

This Agreement contains the terms and conditions that apply to your purchase from Icon Technologies Limited, a Canadian Corporation ("Icon", "our" or "we") that will be provided to you ("Customer") on orders for products and/or services sold in Canada and the USA. By accepting delivery of our products and/or services described on the invoice, The Customer agrees to be bound by and accepts these terms and conditions. These terms and conditions apply unless the customer has signed a separate purchase agreement with Icon, in which case the separate agreement shall govern.

1. Payment Terms; Orders; Quotes; Interest. Terms of payment are within Icon's sole discretion, and unless otherwise agreed to by Icon, payment must be received by Icon prior to Icon's acceptance of an order. Payment for the products and services and support may be made by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Icon. If credit terms have been agreed to by Icon, invoices are due and payable within thirty (30) days of the invoice date. Icon may invoice parts of an order separately. Orders are not binding upon Icon until accepted by Icon. Any quotations given by Icon will be valid for the period stated on the quotation. Customer agrees to pay interest on all amounts past due at a rate of one and one half percent 1.5% per month (19.56% per year).

2. Customer Service and Support. Icon will provide customer service and technical support to our Customers, in accordance with the then-current service and technical support policies and conditions in effect. Icon promises that its customer service & support people will attempt to handle by e-mail, fax, or over the telephone any problem involving Icon-branded products.

3. Shipping Charges.

a) Canadian Shipping Charges; Taxes. Separate charges for shipping and handling will be shown on the invoice(s). Online orders are shipped by Purolator Ground, and the tracking number is forwarded to the customer. All product ship-to locations in Manitoba are subject to a 7% PST, Unless Customer provides Icon with a valid and correct tax exemption certificate prior to Icon's acceptance of the order, All Canadian customers are responsible for goods and services tax. If applicable, a separate charge for taxes will be shown on the invoice.

b) USA Shipping Charges; Taxes. Separate charges for shipping and handling will be shown on the invoice(s). Online orders are shipped by Purolator Ground or UPS Standard, and the tracking number is forwarded to the customer. All product ship-to locations in the USA are invoiced tax & duty exempt.

4. Title; Risk of Loss. Title to products passes from Icon to Customer on shipment from Icon's facility. Loss or damage that occurs during shipping by a carrier selected by us is Icon's responsibility. Loss or damage that occurs during shipping by a carrier selected by you is your responsibility. You must notify Icon within 14 days of the invoice date if you believe any part of your purchase is missing, wrong or damaged. Ship dates are estimates only. Icon is not liable for delays in shipment or failure to ship by the estimated ship date.

5. Return Policies. Under Icon's "Total Satisfaction Guarantee", end-user Customers who buy Icon-branded products directly from Icon may return them to Icon up to 30 days of the invoice date for a refund of the product purchase price if already paid. You must contact us directly before you attempt to return any product to obtain a Return Goods Authorization (RGA) Number for you to include with your return. Ship products in their original packaging to us within five (5) days of the date that Icon issues the Return Goods Authorization (RGA). Prepay return shipping charges, customs charges, brokerage fees, and insure the shipment or accept the risk of loss or damage during shipment and the refund credit will not include any shipping and handling charges shown on your invoice, and will be subject to a twenty percent (20%) restocking fee. We will notify you via e-mail of your refund once we have received and processed the returned item. You can expect a refund in the same form of payment originally used for purchase within 30 days of our receiving your return. Please note; Icon may in its sole discretion refund shipping costs only if the return is a result of our error.

6. Exchanges. From time to time, Icon may, in its sole discretion, exchange products or portions of a product. Any exchanges will be made in accordance with Icon's exchange policies in effect on the date of the exchange.

7. Products. Icon continually upgrades and revises its products and service offerings to provide Icon customers with new choices. Icon may revise and discontinue products at any time without prior notice to customers. Icon will ship products that have the functionality and performance of the products ordered, but changes between what is shipped and what is described in a specification sheet or catalogue are possible. The parts and assemblies used in building Icon products are selected from new and equivalent-to-new parts and assemblies in accordance with industry practices. Spare parts may be new or reconditioned. The quoted Icon SKU numbers for Icon-branded products are of the quantity specified by Icon and conform in all material respects with the Icon product specifications current on the date such products were shipped.

8. Warranties. The limited warranties applicable to Icon-branded products are available online. There are no warranties for services. Icon makes no express warranties except those stated in Icon's applicable warranty statement in effect on the date of the invoice. Any such warranties will be effective, and Icon will be obligated to honor any such warranties, only upon Icon's receipt of payment in full for the product to be warranted.

Icon disclaims all other warranties and conditions, express or implied, including without limitation implied warranties or conditions of merchantability and fitness for a particular purpose. Icon's responsibility for warranty claims is limited to repair and replacement as set forth in Icon's applicable warranty statement in effect on the date of the invoice. Icon reserves the right to modify its warranty at any time, in its sole discretion.

9. Limitation of liability. Icon (including Icon's parents, affiliates, officers, directors, employees or agents) does not accept liability beyond the remedies set forth herein, including any liability for products not being available for use or the provision of services or support. Icon will not be liable for lost profits, loss of business, or other incidental, indirect, consequential, special or punitive damages, even if advised of the possibility of such damages, or for any claim by any third party except as expressly provided herein.

Customer agrees that for any liability related to the purchase of products or services, Icon is not liable or responsible for any amount of damages above the aggregate dollar amount paid by customer for the purchase of products and/or services under this agreement.

The foregoing limitations apply regardless of the cause or circumstances giving rise to such loss, damage or liability, even if such loss, damage or liability is based on negligence or other torts or breach of contract (including fundamental breach or breach of a fundamental term).

10. Personal Information. When you provide your personal information to Icon (such as name, address, phone number, company name, or the products you are shopping for or purchasing) we will not give or sell your individual information to any outside company for its use in marketing or solicitation without your consent. We will maintain the confidentiality of your personal information and it will be used only to support your customer relationship with Icon. At Icon, we are helping you maintain control over your personal data while fostering the growth of a more interactive online environment. Our intention is to send e-mail only to customers or to individuals whom we believe have chosen to receive such e-mails. At any time, you have the right to 'opt out' of receiving future Icon communications.

11. Other Documents. Other than as specifically provided in any separate formal purchase agreement between Customer and Icon, these terms and conditions may NOT be altered or amended by the use of any other document(s). Any attempt to alter or amend this document or to enter an order for product(s) or services and support that are subject to altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and Icon.

These terms and conditions are subject to change without prior written notice at any time, in Icon's sole discretion.
